These Customer Terms and Conditions (“Terms”) govern engagements between Ready Service Solutions LLC (“RSS,” “we,” or “us”) and customers (“you” or “Client”) for remodeling, construction, design-build, and handyman services. These Terms are supplemented by the specific written contract for each project. In the event of a conflict between these Terms and a signed project contract, the project contract controls.
1. About RSS
RSS is a fully licensed and insured residential remodeling and construction company based in South Dakota. RSS holds South Dakota Building License #14544 and is EPA Lead Certified, NAT-F275333-1. Licensing and insurance details are available upon request.
2. Scope of Services
RSS provides remodeling, construction, design-build, and handyman services, including but not limited to kitchens, bathrooms, decks, siding, windows, doors, flooring, and custom remodeling. The exact scope of any engagement is set forth in the signed contract for that project. While RSS strives for excellence, the inherent nature of construction work means that outcomes may vary based on on-site conditions, materials availability, weather, and other factors that emerge during the project.
3. Estimates and Quotes
All estimates and quotes provided by RSS are based on the information available at the time of assessment. Final costs and project timelines may vary due to on-site conditions, unforeseen circumstances, scope changes requested by Client, code requirements identified during the work, or other factors. Clients are encouraged to seek clarification on any aspect of an estimate before work commences. Estimates remain valid for thirty (30) days from the date issued unless otherwise stated.
4. Acceptance of Terms
By engaging RSS, signing a project contract with RSS, or making a payment to RSS, you agree to be bound by these Terms. If you do not agree, do not engage RSS.
5. Modifications
RSS may modify these Terms from time to time. Changes will be effective immediately upon posting to readyservicesolutions.com. Your continued use of RSS services after such changes constitutes acceptance of the updated Terms. For active projects, the version of these Terms in effect at the time you signed the project contract continues to govern that project unless the parties expressly agree in writing to an update.
6. Payment Terms
6.1 Payment Information. When making online payments to RSS, you agree to provide accurate and current payment information. All online transactions are processed through secure third-party payment processors.
6.2 Due Date. Payment must be received in full by the due date specified on each invoice.
6.3 Late Fees. If payment is not received within three (3) days after the due date, a late fee of twenty-five percent (25%) will be applied to the outstanding balance.
6.4 Liens. If payment remains outstanding after the late period, RSS reserves the right to file a mechanic’s lien or other lien permitted under South Dakota law against the property associated with the contract.
6.5 Returned Payments. In the event that a check or other payment instrument is returned for any reason, a fee equal to twenty-five percent (25%) of the payment amount will be assessed in addition to any bank fees.
7. Electronic Communications and Paperless Billing
By engaging RSS, you agree to receive billing statements, invoices, receipts, contracts, change orders, and other project communications electronically (by email and, with your consent, by text message). It is your responsibility to ensure that the contact information you provide to RSS is current and accurate, and to check the email and phone number on file regularly. If you require paper copies of any document, you may request them at any time at no additional charge.
8. Work Completion and Touch-Ups
8.1 Grace Period. Upon completion of work, you have a three (3) day grace period to inspect the work and report in writing any issues, request touch-ups, or identify deficiencies.
8.2 After the Grace Period. After the three-day grace period, all work is deemed final and accepted, and any additional services, touch-ups, or modifications may incur extra charges at RSS’s then-current rates.
8.3 Latent Defects. The grace period does not limit any warranty rights you may have under applicable South Dakota law for latent defects discovered after the grace period.
9. Permits and Regulatory Compliance
9.1 RSS will obtain all necessary permits and approvals required for the services provided, subject to any applicable fees.
9.2 Permit-related fees are the responsibility of the Client unless otherwise agreed in writing. Permit fees will be itemized separately on the project invoice.
9.3 If a municipal inspection identifies additional work required to bring the project into code compliance and the additional work was not reasonably foreseeable at the time of the estimate, the additional work will be billed as a change order.
10. Materials and Subcontractors
10.1 RSS-Selected Materials and Subcontractors. RSS reserves the right to select materials and subcontractors as it deems appropriate for the quality and timing of the work, unless otherwise specified in the project contract.
10.2 Client-Provided Materials. If you supply your own materials, RSS reserves the right to inspect them before installation. If the materials provided are inadequate, non-compliant with code, defective, or delayed in a manner that causes project delays or lost labor hours, RSS may, at its discretion, source and install appropriate materials and back charge you for the cost of those materials, plus any administrative or labor fees incurred due to the delay.
11. Cancellation and Rescheduling
RSS reserves the right to cancel or reschedule services due to unforeseen circumstances, including inclement weather, emergencies, subcontractor unavailability, or material shortages. Clients will be notified promptly of any changes. If you need to cancel or reschedule, please contact RSS as soon as possible; cancellation fees may apply as set forth in the project contract.
12. Intellectual Property
All content on the RSS website, including text, graphics, logos, photographs of completed projects, and design materials, is the property of RSS and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of our content without the express written consent of RSS. RSS may take and use photographs of completed projects for marketing and portfolio purposes, with any address or other identifying information removed at your request.
13. Privacy Policy
Your use of RSS’s services is also governed by our Privacy Policy, available at readyservicesolutions.com, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, and protect your information.
14. Insurance and Liability
14.1 Insurance. RSS maintains general liability and workers’ compensation insurance as required by South Dakota law. A certificate of insurance is available upon request.
14.2 Property Protection. Clients are responsible for securing valuables, fragile items, and other personal property in or around the project area before work begins. RSS will take reasonable care to protect the work area but is not responsible for pre-existing conditions, latent defects discovered during the work, or damage to items the Client failed to secure.
14.3 Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RSS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF USE, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF RSS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. RSS’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO A PROJECT WILL NOT EXCEED THE AMOUNTS PAID BY CLIENT TO RSS UNDER THE PROJECT CONTRACT FROM WHICH THE CLAIM ARISES.
15. Termination
RSS reserves the right to terminate or suspend services, at its sole discretion, without prior notice for any material violation of these Terms or the project contract, including non-payment. Upon termination, Client remains responsible for payment of all work performed and materials delivered through the date of termination.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of South Dakota, without regard to its conflict-of-laws principles.
17. Dispute Resolution
In the event of any dispute arising from these Terms or the services, both parties agree to engage in good faith negotiations to resolve the matter for at least thirty (30) days following written notice of the dispute. If a resolution cannot be reached, the dispute will be referred to mediation or arbitration as specified in the applicable project contract, or, absent such specification, to the state or federal courts located in Minnehaha County, South Dakota, which the parties agree will have exclusive jurisdiction.
